Master Service Agreement

Sovereign Policy Enforcement Protocol | Patent Pending

Document ID: GLX-MSA-2026-Q1 | Effective Date: Jan 31, 2026

1. Subscription & Quarterly Alignment

Glixin services operate on a fixed calendar quarter schedule. Billing cycles commence on January 1, April 1, July 1, and October 1. To maintain network synchronization, all service provisions are aligned to these specific periods.

Prorated Allocation: For mid-quarter enrollments, the initial service fee is calculated on a daily pro-rata basis for the remaining duration of the current period. Subsequent renewals will be invoiced at the full base rate of the selected Tier.

2. Provisioning & Quarterly Capacity

Service Tiers define the maximum permitted transaction volume (the "Quarterly Cap"). These limits are programmatically monitored to ensure global system stability. Service access is strictly contingent upon a verified 'PAID_ACTIVE' status within the Glixin Sovereign Ledger.

Capacity Enforcement: Accounts reaching 100% of their Quarterly Cap, or accounts with lapsed payment status, will receive an automated '403 Forbidden' response. Normal service resumes at the start of the next calendar period or upon a verified Tier upgrade.

3. Termination & Refund Policy

Due to the immediate provisioning of dedicated cloud infrastructure and proprietary API credentials, all payments are considered earned upon receipt and are non-refundable.

Cancellations: Subscribers may terminate renewal through their billing dashboard or by contacting billing@glixin.com. Upon termination, access remains active until the expiration of the current paid quarter.

4. Technical Characterization & AI Limitations

Glixin provides deterministic protocol validation and AI-driven characterization (VANGUARD, SENTINEL, SOVEREIGN). The Client acknowledges that these characterizations are probabilistic in nature. While engineered for high precision, Glixin does not warrant 100% accuracy.

Risk Acknowledgment: Glixin is not liable for "False Positives" (legitimate transactions characterized as BLOCK) or "False Negatives" (fraudulent or automated transactions characterized as ACCEPT). The final operational decision to execute a transaction rests solely with the Client.

7. Limitation of Liability & Indemnification

To the maximum extent permitted by law, Glixin’s total aggregate liability for any claims, losses, or damages arising out of this agreement—regardless of the form of action—shall be strictly limited to the total fees paid by the Client to Glixin during the three (3) months immediately preceding the event giving rise to such liability.

Indemnification: The Client agrees to defend, indemnify, and hold Glixin harmless from any third-party claims, lawsuits, or regulatory actions resulting from the Client’s use of the Glixin API or the Client’s internal decisioning based on Glixin metadata.

5. Intelligence & Metadata De-Identification

Glixin reserves the right to capture and utilize anonymized metadata. This data is programmatically stripped of Personally Identifiable Information (PII) and specific transaction "DNA." This aggregated intelligence is used for threat detection and system-wide performance tuning.

6. Intellectual Property Protection

The Glixin Business PE API, its underlying logic, and the Sovereign Gateway architecture are protected under Patent Pending status. Unauthorized reverse-engineering or replication of the screening logic is strictly prohibited.
